Members Hand Book
The following are complementary/in addition to the information given overleaf.
- New members are registered as probationary members for 12 months. If appropriate involvement has been demonstrated at the end of this period, full membership status will be granted.
- Members are expected to accumulate 12 cruise points, 12 social points and 12 working party points annually. Membership may be revoked if participation is insufficient.
- All membership subscription fees due must be paid in full by the last Wednesday in March or the membership shall be deemed to have lapsed with the result that a new application to join will have to be made, including payment of Entrance Fee.
- Membership subscription payments apply 1 Jan – 31 Dec. Invoices relating to this period are issued before the start of the year, in November, following agreement of fees at the AGM.
- Existing junior members who upon turning 18 renew their membership as an adult member do not have to pay the Entrance Fee, but payment of Levy and Key Deposit does apply.
- The liability of each Adult member is limited to £5, being the amount that each member undertakes to contribute to the assets of the company in the event of its being wound up while he is a member or within one year after he ceases to be a member.
- The Board of Directors may refuse membership or expel from membership for conduct or character likely to bring the club or sport into disrepute.
- Where membership is terminated or refused, The Board of Directors reserve the right to make this decision without justification of reason being given.
- For members who join as an Adult Couple, any disciplinary action which may be required will be applicable to both parties.
- Appeal against a refusal or expulsion from membership may be made to the club’s members and is decided by a majority vote.
- The use of the Clubhouse and associated amenities is regulated by instructions & rules laid down by the Board of Directors. From time to time, changes may be made to such instructions and rules. Communication of any such changes made via the Clubhouse notice board and/or WCC website will be deemed sufficient.
- Members may not access the Clubhouse except in the presence of a Director, or with prior permission from a Director.
- Only members of the Board of Directors (or on occasion members given specific permission) are permitted behind the bar.
- Any damage, breakages or equipment malfunction in the Clubhouse or associated amenities should be made good and/or reported to a Director.
- If the behaviour of any member might be considered to threaten the good name of the club, any Director may suspend membership, barring the member from the premises of WCC until such time that the Board of Directors can meet and consider the matter. Where a member's guest is involved in inappropriate behaviour the host member shall assume full responsibility including the possibility of suspension as laid out above.
- Guests must be formally signed in in accordance with the agreed ‘Signing in of Guests’ procedure.
- Members are required to accept full responsibility for the safety and behaviour of Junior members and any other children accompanying them at all times.
The primary purpose of WCC is to provide facilities for, and to promote participation in, the Sport of Cruising the inland waterways. To achieve this, moorings and mooring amenities are available to members, but WCC is a cruising club, not just a mooring club. To promote participation in the sport, a lively programme of cruising and social events are held throughout the year. Active participation is the best way to get the most from your membership. By committing to membership of the Club, you are also committing to active participation in the Club’s programme of cruising and social events. The membership of the Club represents a wide cross-section of the community drawn from many areas in the North West. WCC is a ‘self help’ Club and all its current facilities have been gradually built up over time and been made possible by the tireless commitment, efforts and labour of the Club’s own members. There are no paid officials or employees, it is up to each member to ‘do their bit’ to support the Club. No one person can do everything, but some involvement is expected from all members to support the Club’s future development and sustainability. Regular work party activities take place in which members are expected to participate.
The Membership Officer is responsible for procedures associated with membership of the Club on behalf of the Board of Directors. If after reading the enclosed information, you have any further queries regarding membership at WCC, the Membership Officer will be happy to advise.
The Clubhouse
The Clubhouse is situated at the Patricroft moorings. The Clubhouse Officer is responsible for licensing arrangements and the running of the Club bar on behalf of the Board of Directors. The Clubhouse bar is open for members’ social evenings every Wednesday, from 7.30pm.
The Social Programme
In addition to the Wednesday social evenings, an extensive weekend social programme is organised by the Social Officer, ranging from Valentine to Halloween! The support of members in running such events is always welcome. A requirement of membership is that you must participate in a minimum of 12 social events (Wednesdays or weekends) to earn 12 social points annually.
Guests
Members may bring guests into the Clubhouse on Wednesday social evenings and to some weekend social functions. Guests must be formally signed in and members are responsible for familiarising themselves with required procedures which are available from the Secretary, by request. The host member must take full responsibility for the conduct of their guests.
The Cruising Programme
The Commodore is responsible for organising and overseeing the cruising programme. Cruises range from single day cruises through to the annual 2 week Commodore’s Cruise in July/August. Non boat owners are encouraged to travel by car or public transport and join cruises at a scheduled mooring point. A requirement of membership is that you must participate in sufficient cruises to earn a minimum of 12 points annually.
Work Party Activity
As WCC has no paid officials, maintenance and improvements to the Clubhouse and moorings have to be carried out by the members. To facilitate this, numerous Work Parties are organised throughout the year by the Mooring Officers. These usually take place on Saturdays and members sign up to assist with a variety of required jobs. These can range from trimming hedges to making sandwiches to feed the hungry workers - There is a job to suit everyone! In addition a ‘Work/Point s Book’ system offers further opportunities to earn points in exchange for completion of specified jobs. A requirement of membership is that you must participate in sufficient Work Party activities to earn a minimum of 12 points annually.
Junior members
Junior members are welcome to participate in all cruising and the majority of social events. It is expected that the adult member accompanying the junior member will ensure their safety and appropriate conduct at all times. On Wednesday social evenings, junior members must vacate the Clubhouse by 10.00pm.
Communication with Members
Members are kept informed of notices and events through the Clubhouse notice board and The WCC website – www.worsleycruisingclub.co.uk
Classes of Membership:
There are 2 classes of membership:
Adult membership– over the age of 18 and Junior membership – under the age of 18 Adults may join as a single adult, or a couple.
Juniors may not join independently. Their membership must be registered in conjunction with an adult member. Entrance Fee:
An Entrance Fee of £50 is charged for each successful membership application. This is a one off payment and is non refundable. ‘Levy’:
A ‘levy’ of £5 per adult member is also required. By joining the Club, you become a ‘shareholder’ in WCC Limited Company. The £5 charge is to protect you from any additional charges being made against you in the event the Ltd Company needs to cease. The £5 levy is a one off charge and is refundable, upon request after 12 months of you ceasing to be a member. There is no levy charge for Junior membership.
Key Deposit:
A Key deposit of £25 will also be payable. This is to secure keys which will give access to the moorings and amenities. This deposit is returnable on return of the keys should you cease to become a member.
Annual membership subscription:
Further to the joining fees listed above, an annual subscription is payable. This payment covers from 1 January to 31 December. New memberships granted on or after 1 September will be granted a 50% reduction on this charge.
Single adult annual subscription - £33
Adult couple annual subscription - £62
Junior annual subscription - £6
Application process:
Following submission of your application form, various procedures take place in accordance with the WCC Application for Membership Policy. More detailed information on the Application process may be found in the leaflet ‘Information for Applicants’. Following this, the Board of Directors will consider your application and make a decision whether to approve or reject your application for membership. You will be notified of this decision by the Membership Officer.
Subject to a successful application, you will be invoiced for fees due. On payment of this invoice, you will be formally registered as a probationary member of WCC. The probationary status lasts for 12 months. If at the end of this period you have demonstrated appropriate involvement in and commitment to the Club, full membership status will be granted (at the discretion of the Board of Directors).
Changes to Charges:
Charges are reviewed annually and agreed at the WCC Ltd Annual General Meeting. These agreed charges are then applicable until the next AGM.
All adult members are full voting members of the Limited Company (1 vote each)
Longstanding members aged 65 or over
Members who are 65 or over, and have been a member of WCC for 10 or more consecutive years on 1 January of the year for which subscription and amenity fees are due are eligible for concessionary rates. (In the case of Adult Couple Memberships, eligibility is determined by the status of the main member.) Proof of age is required to qualify for this concession.
Concessions are as follows:
Annual Subscription Fees
Ø Single Adult Membership - £7 reduction (£26 per year payable 2016 rates)
Ø Adult Couple Membership - £12 reduction (£50 per year payable 2016 rates)
Amenity Fees
Ø Boat Owners – 4p per foot per week reduction (ie 6p per foot per week payable at current 2016 rates and subject to sufficient points having being accumulated to qualify)
Life Membership
Members who have demonstrated exceptional longstanding loyalty and support for WCC may be recommended by the Board of Directors to be considered for the granting of Life membership. Any proposals for Life Membership made by the Board of Directors are brought before members at the Annual General Meeting and voted upon by all members. A two-thirds majority is required to carry the proposal.
Life Members are exempt from payment of any Annual Subscription Fees.
(Life Member boat owners are still liable for payment of Amenity Fees at the appropriate rate)
Promoting the identity of Worsley Cruising Club along the waterways and within local communities is considered very important. Clothing carrying the Worsley Cruising Club logo, which is suitable for use when cruising or just for leisure wear, is available for sale from the Clubhouse.
A Club such as WCC cannot survive without good will and participation. There are no paid officials or employees so all activity within the Club depends on active participation by its members.
Your commitment as a member:
Upon applying for acceptance for membership of WCC, you are agreeing to meet the requirements of participation in Club activities. Your requirement is, sufficient involvement in the cruising programme to earn a minimum of 12 points annually, sufficient involvement in the Work Party programme to earn a minimum of 12 points annually and sufficient involvement in the social programme to earn a minimum of 12 points annually. (see Membership Leaflet for more details).
Failure to meet these minimum requirements can determine whether your membership will be approved for renewal and will affect the rate of amenity fees charged to boat owners.
The Points System:
The Points System was introduced to encourage full participation in Club life. It is intended to reward those members who fulfil their required obligations, and impose a penalty on those who do not. For each activity participated in, points are awarded and a register kept to monitor each members participation. This register is open for all members to see at any time either on the WCC website or by request to a Director.
The Points Register:
It is the responsibility of the appropriate Mooring Officer to submit a register of who has participated in work party activities to the Board of Directors. For cruises, the Commodore has this responsibility, and for social events, the Social Officer. However, it is your responsibility as a member, to ensure your participation is registered. At each activity you attend you must actively indicate your involvement to the appropriate Officer and ensure this is entered on the register. You cannot assume your involvement will be registered automatically by the responsible Officer.
How are points awarded?:
For each activity participated in, points are awarded as follows
Ø Cruising – A certain number of points are allocated to each cruise (or part thereof) and published as part of the cruising programme.
Ø Work Party – 6 points are allocated for participation in a main organised work party. These are arranged as required throughout the year. A variety of other jobs requiring completion, and the associated points for doing so can be found in the ‘Work/Points Books’ situated at Butts Basin and in the Clubhouse at Patricroft.
Ø Social – 1 point is awarded for each attendance at a social event. This may be for attendance at a Wednesday Members Social Evening or weekend event as published as part of the social programme.
The cruising programme, social programme and work parties, (including any required amendments or updates) are communicated to members and can be viewed via the website and Club notice board.
How many points do you have to get?
To fulfil your minimum annual obligations, you will need to earn a total of 36 points annually.
What happens if you get the required number of points?
All members who achieve 12 points (or more) in each of the 3 required categories, will automatically be eligible for renewal of membership and boat owning members will be charged Amenity Fees (at current rates 2016) of 10p per foot per week.
What happens if you fail to get the required number of points?
For members who fail to reach the 12 point threshold in each category, this could affect your eligibility for renewal of membership (at the discretion of the Board of Directors) for failure to meet your agreed obligations as a member. Boat owning members will be charged Amenity Fees at a higher rate. This rate is determined by a sliding scale of fees (at current rates 2016) up to 20p per foot per week, depending on the number of points which have been achieved. If you earn more than 12 points in one category, these cannot be used to compensate for a shortfall in another category.
What happens if you get more than the required number of points?
If you earn more than the 36 required points, as many members do, your support and commitment is very much appreciated, but unfortunately does not attract any further reductions or benefits. There is an award for the member who accumulates the highest annual points score though!
New members
New boat owning members are charged Amenity Fees at a rate of 20p per foot per week for the first year (or part thereof up until the following 1 January). Subsequent Amenity Fees charged will be determined by the number of points which have been accumulated from the time of joining up to the Amenity Fee renewal date of 1 January.
Exceptional circumstances:
Members who experience significant and unforeseen difficulties, such as illness, which prevent them accumulating sufficient points may be given special consideration by the Board of Directors, at their discretion. Any such situation must be reported to the Membership Officer at the first available opportunity to be given special consideration. Late reporting of such considerations could undermine the position of the Board of Directors to grant any such concession.
Discretionary concessions:
Scrutiny of points earned by each member takes place by the Board of Directors on an annual basis. The result of this scrutiny is that for members not meeting their commitments, membership renewals can be refused, amenity fees concessions denied or notice made to a member requiring improvement in meeting commitments. The Board of Directors reserve the right to make individual decisions or concessions based on individual circumstances.
The following are complementary/in addition to the information given overleaf.
1. Boat owners are responsible for keeping allocated moorings clean and tidy.
2. Boats must use only their allocated mooring (except with permission from the Mooring Officer).
3. No mooring at the water point other than for using the Sanitation Block amenities (except with permission from the Mooring Officer). .
4. No mooring on the working mooring (except with permission from the Mooring Officer).
5. If temporary mooring is required at the other WCC site at which you do not have an allocated mooring (for example when attending at a social event), advice must be taken from the Mooring Officer prior to arrival as to where mooring is acceptable and appropriate.
6. A member is not allowed to assign his allocated mooring to any other member.
7. Boat owners intending to sell a boat should inform the Mooring Officer. No mooring is transferable with a boat.
8. If a boat is sold, a period of two months is allowable in which to acquire a replacement boat. After this period the allocated mooring will be lost.
9. If a boat is changed, and the replacement boat is:
> of a similar length, the allocated mooring arrangements will continue.
> one which requires a smaller mooring, an alternative mooring will be allocated & no refund of amenity fees will be made.
> longer,an alternative mooring will be allocated (subject to availability, see allocation of moorings overleaf) and a pro rata additional amenity fee charge will be payable.
1. Should a member no longer require an allocated mooring, no refund of amenity fees will be made.
2. A minimum Amenity Fee charge of 35 feet is applicable. All amenity fees due must be paid in full by the last Wednesday in March or the allocated mooring will be lost. (except in exceptional circumstances which must be reported to the Board of Directors for consideration prior to this date)
3. Any boat for which the correct amenity fees have not been paid by the stipulated time will have to vacate the mooring within 14 days. If any boat is required to vacate the moorings, notice will be sent in writing, by the Board of Directors, to the last notified address. This shall be deemed enough notice. Failure to comply with this requirement will result in referral to the BWCC for disposal of the boat at the owner's risk and expense without any further notice being required.
4. Only one boat mooring per family unit is permitted. However, a family unit already having a mooring can request an additional mooring and one may be allocated but only on a temporary basis and subject to availability. In the event the mooring is required for allocation to another member, the additional mooring shall be vacated within four weeks.
5. No member (except the Mooring Officer) shall move, walk on or interfere with any boat not owned by him without the consent of the owner.
6. Security of the moorings is of the utmost importance. Members must ensure all facilities and gates are locked when not in use.
7. No toilet/black water or oil discharging into the canal is permitted.

WCC has moorings at the Patricroft Arm, Cawdor Street, Eccles and Butts Basin, Butts Bridge, Leigh.
Mooring space is limited and can only be allocated if and when available.
Only members of WCC can be allocated a mooring.
The Club has 2 Mooring Officers, one associated with each site. The Mooring Officers are responsible for allocation of moorings on behalf of the Board of Directors. They are also responsible for the monitoring of the moorings and the organisation of Work Parties to ensure moorings are adequately maintained. Each site also has an Assistant Mooring Officer to support the Mooring Officer with these required duties.
There are amenities available on the moorings at WCC which are for member use only. Keys are provided (£25 deposit payable) to allow member access to these facilities. As these amenities are for the benefit of all Club members it is essential they are treated with respect and always left clean, tidy and secure after use.

Bridgewater Canal Licensing & Mooring Fees
To moor on the Bridgewater Canal, you must have a Bridgewater Licence for your boat. To obtain a Bridgewater Licence you must have a designated mooring on the Bridgewater Canal, a boat safety certificate and insurance for your boat. Fees for mooring on the Bridgewater and the Bridgewater Licence fee are paid directly to the Manchester Ship Canal Company. Rates for both the mooring and licence are set by the MSCC. What to do if you wish to be considered for a mooring at WCC
Only members of WCC can be considered for allocation of a mooring.
Consult with the appropriate Mooring Officer for either Patricroft or Butts Basin and they will advise you of the current availability. The Mooring Officer will also formally report your request for consideration for allocation of a mooring to the Board of Directors.
If a suitable mooring is available, you will be advised of this by the Mooring Officer. You will then need to produce a current Bridgewater Licence, sign a declaration that your boat is suitably insured* and will be kept insured as long as it is on a WCC mooring and pay the annual WCC Amenity Fee (see opposite). When these requirements have been met, the mooring will be officially allocated to you.
If a suitable mooring is not available, you will be put on a waiting list. Moorings are then allocated taking into consideration order of requests received and suitable available space.
The same procedure applies if you are a boat owner with an existing mooring, but are considering buying a larger boat, thus requiring a larger mooring. Make sure you consult with the Mooring Officer well in advance before buying a larger boat as suitable mooring space may not be available.
The position and length of the allocated mooring will be at the discretion of the Mooring Officer. The Mooring Officers are also empowered to move any boat if required or direct boats to be removed or double moored.
All newly allocated moorings at Patricroft will normally be at the far end of the mooring line. This can be either at the Spooner’s Wharf or Barton Aqueduct end of the line.
*Suitable insurance is deemed to have 12 months cover, Third Party Cover, Public Liability Cover to the value of at least £1,000,000 and Wreck Recovery Cover.
WCC Amenity Fees
An annual amenity fee is payable to WCC for use of the moorings and associated facilities. The amenity fee payable is calculated based on the length of the boat you have, coupled with your commitment to participation in supporting the Club which is monitored through a Points System. A minimum Amenity Fee charge of 35 feet applies. The current rate (2016) is 10p per foot per week, providing all membership participation commitments are fulfilled, however this can rise to 20p per foot if membership commitments are not fully met. New boat owning members are charged at the 20p rate from the time of joining to
1 January the following year when points earned will be taken into consideration to determine Amenity Fees payable. More information on participation requirements can be found in the Membership and Membership – Further Information leaflets.
Water point & Sanitation Block
The water point is situated outside the Sanitation Block. The water point mooring should only be occupied for the minimum period of time necessary to use the facilities. Mooring here is not permitted at any other time. The Sanitation Block has a toilet, wash basin and a facility for disposal of the contents of chemical toilets and a pump out. The Mooring Officer can advise on usage. Any malfunction, blockage or breakage should be reported to the Mooring Officer. (Members are responsible for any necessary repairs). Special care must be taken not to leave any water tap running as the supply is metered and therefore must be conserved. After use, members must leave the block in a clean, tidy and secure condition. There is no facility for disposal of rubbish. All rubbish must be taken home.
Workshop and Working Mooring
Routine maintenance and minor repairs to boats can be carried out on allocated moorings. If more major repair work is required, a working mooring is available, outside the workshop. The working mooring may only be used by arrangement with the Mooring Officer. Use of the workshop is available to all members as required. Please be mindful of your own and others safety when using this facility. Responsibility cannot be taken for any tools or equipment left in the workshop. Electricity supply is available from a pre-payment meter.
Electricity points
There are numerous pre-payment electricity points along the moorings giving access to a landline facility if required.
There is less available space at the Butts Basin Moorings so less facilities are available. There are several water and pre-payment electricity points. There are no toilet facilities on site. There is a sanitation and water point located approximately 20 yards away between Butts Basin and Butts Bridge which requires a BWB key to access. The closest pump out facilities are at Boothstown Basin and Plank Lane Bridge which are both approximately 50 mins cruising time from Butts Basin. (Boothstown is manned, but Plank Lane requires a BWB card).
The same consideration of safe working practices and respect for facilities is expected at both sites.
Annual General Meeting (AGM)
As a limited Company, the running of WCC is legally bound by a set of rules called the Articles of Association. The Articles of Association require that a meeting of all members is held each year. This is called the Annual General Meeting. There are prescribed rules as to how the AGM needs to be conducted.
The AGM is considered to be a very important event in the WCC calendar and all members are strongly encouraged to attend. It provides an opportunity for all members to actively show their support by exercising their right to vote to influence the future effective running of the Club. It also provides information on, and the opportunity to comment on what has taken place over the previous year and any proposals for future developments. All members have the right to vote at the AGM.
Each year (in February), the WCC Annual General Meeting is held at the Clubhouse. The procedures of the meeting are bound by very formal rules which must be adhered to, but the atmosphere of the meeting is informal and relaxed. Due to the requirements of the formal rules, the procedures and terminology used, both before, and at the meeting can sometimes become a little confusing. This leaflet is designed to try to explain some of these terms and procedures so the AGM process will hopefully make a bit more sense!

Agenda item 1: Welcome & Opening remarks
The Chairman will formally open the meeting. The meeting is chaired (initially, see later) by the current Chairman of WCC.
Agenda item 2: Apologies
Apologies received from members who are not able to attend the meeting will be acknowledged and formally recorded by the Secretary.
Agenda item 3: Minutes of last AGM
Copies of the minutes of the previous year’s AGM are made available at the meeting for members to read. It is then proposed, seconded and voted upon that these are a true & accurate record of the meeting. If any errors should be raised, these will be formally recorded in the minutes to ensure an accurate representation of the meeting is filed by the Board of Directors.
Agenda item 4: Matters arising
Any information/comments made relating to anything from the minutes of the last AGM are formally recorded.
Agenda item 5: Presentation/Adoption of Annual Chairman’s Report
The Chairman presents a report which summarises important events in the life of WCC Ltd which have occurred over the past year. This is then proposed, seconded and voted upon to indicate that the meeting has formally adopted the report. A copy of this report is signed by the Secretary, to endorse its acceptance by the meeting.
Agenda item 6: Commodore’s Report
The Commodore presents a report which summarises important events, relating to the Cruising Programme which have occurred over the past year. This is then proposed, seconded and voted upon to indicate that the meeting has formally adopted the report.
Agenda item 7: Presentation/Adoption of Accounts
Copies of the last years accounts are made available for all members at the meeting. The Treasurer will highlight some of the important points within the accounts and there will be an opportunity to ask questions for clarification if required. The accounts are then proposed, seconded and voted upon to indicate that they have been formally adopted by the meeting. A copy of the accounts is signed by the Secretary and Chairman, to endorse its acceptance by the meeting, in preparation for inclusion in the legally required Annual Return to Companies House.
Agenda item 8: Appointment of Accountant
Each year, the accounts are submitted by the Treasurer to the Appointed Accountant. The Appointed Accountant prepares the accounts in a format required for inclusion in the legally required Annual Return to Companies House. Each year at the AGM the meeting propose, second and vote upon who the Accountant will be for the coming year. Generally, the same Accountant will be appointed as for the previous year, but in some instances it is necessary to change Accountants. If any changes are required, this will be explained to the meeting by the Treasurer prior to voting.
Agenda item 9: Clubhouse Officers Report
The Clubhouse Officer presents a report which summarises the previous years activity, relating to WCC as a Licensed premise for the sale of alcohol. The report includes important events and summary of accounts relating to the Clubhouse and bar. This is then proposed, seconded and voted upon to indicate that the meeting has formally adopted the report.
Agenda item 10: Appointment of the Board of Directors
During this stage of the meeting, the current Board of Directors will resign and a new Board of Directors will be appointed to hold office for the next year.
> Election of Presiding Officer
The chairman invites nominations from the floor for the election of a Presiding Officer. The Presiding Officer is a person who will chair the meeting for this next section (as the current Chairman is about to resign, so cannot chair the meeting). Nominations are taken and a Presiding Officer proposed, seconded and formally elected by the meeting.
> Resignation of Board of Directors
The Presiding Officer will formally accept the resignation of the current Board of Directors.
> Election of Tellers
The Presiding Officer will ask for nominations from the floor for the appointment of two Tellers. These are then proposed, seconded and formally elected by the meeting. Tellers are people formally charged with the responsibility of the counting of any votes cast by the members.
> Election of the Board of Directors
Nominations for the new Board of Directors will have been made prior to the meeting. If there are any vacant positions, this will be raised and nominations invited for these positions.
If only one nomination has been received for each position, the nominations will be proposed, seconded and voted upon ‘en bloc’. This means that the Board of Directors will be appointed, as nominated by one single vote of the members.
If there is more than one person nominated for any one position, this will be decided by poll. The Tellers are responsible for conducting the poll.
Following appointment of the new Board of Directors, the Presiding Officer steps down and hands over to the newly appointed Chairman to chair the remainder of the meeting.
Agenda item 11: Motions submitted for AGM
If any decisions are required to be made by a vote by members, Motions outlining these will have been submitted to the meeting in advance (see previous section). Members will have had the opportunity to read and consider these Motions prior to the meeting. Each Motion (and any Amendments received) will be presented to the meeting, and there is the opportunity for discussion and to ask questions for clarification of any points. The Motion will then be voted upon by the members. If the Motion is an Ordinary Resolution it will require a simple majority to vote in favour for the Motion to be adopted as a Resolution, but if the Motion is a Special Resolution it will require a majority of not less than 75% of members to vote in favour for it to be adopted. If the Resolution is adopted, this means that WCC Ltd will be legally bound by this decision.
Agenda item 12: Close of Business
This marks the formal close of the AGM and the time is recorded in the minutes of the meeting.
NB The format required for the AGM does not allow for Any Other Business to be included on the agenda. This means that any other points raised may not may not be formally considered as part of the AGM.
Letter of invitation
8 weeks before the date of the meeting all members receive a letter inviting them to attend the AGM. This letter not only gives details of the meeting, but also invites nominations for the Board of Directors, submission of Motions and Amendments (see below) and deadlines by which these must be submitted.
Motions, Amendments & Resolutions:
Although the Board of Directors are authorised to make day to day decisions and establish or amend procedural requirements governing the running of the Club, some important decisions can only be taken if put to all the Club members to be decided by a vote. This type of decision is called a Resolution. When a Resolution is passed by the members vote, the Ltd Company is legally bound by it. There are 2 types of Resolution - An Ordinary Resolution which requires a simple majority vote for the Resolution to be carried and a Special Resolution which requires a majority of not less than 75% of members to vote in favour to be carried. The type of Resolution deemed fit for purpose is determined by the Board of Directors in line with current legislation and the Articles of Association of the Limited Company.
A Proposed Resolution, to be voted upon at an AGM is called a Motion. Any member may propose a Motion for consideration. All Motions must be in writing, seconded by another member and received by the Secretary 5 weeks before the date of the AGM. Received Motions are then posted on the Clubhouse notice board to allow consideration by members prior to the meeting. Additional copies of any Motions are also available from the Secretary, by request.
If after reading through a Motion, a member thinks some sort of change to the Motion should be put forward for consideration at the AGM, they must formally propose this change in writing, seconded by another member. This is called an Amendment. All Amendments must be submitted to the Secretary a minimum of 48 hours prior to the start time of the meeting. Amendments may only be slight proposed changes and may not substantially change the main point of the Motion.
Nomination for election to the Board of Directors:
The members of the Board of Directors are elected each year at the AGM. They then stay in office for 1 year, from the date of the AGM at which they were elected until the next AGM is held. In the run up to the AGM, nomination forms are posted on the Clubhouse notice board. Members may propose/second other members for nomination for a position on the Board of Directors. Any adult member, with their consent, can be nominated to be a member of the Board of Directors. In the event of more than one person being nominated for the same position, the elected member will be decided by poll at the AGM. All nominations must be made at least 1 week prior to the date of the AGM.
Attendance & Apologies
Showing support for, and an interest in the workings of the Club, by attending the AGM is considered very important. Members attending the meeting need to formally register their attendance on arrival. Registration of attendance is normally open from 7.00pm and the meeting will normally formally start at 7.30pm.
All members are strongly urged to attend the Annual General Meeting. For members who are unable to attend, it is expected that apologies will be registered with the Secretary in advance of the meeting. Apologies may be given in person, in writing to the Clubhouse address, by phone (0780 157 7771), email (educat@virginmedia.com) or via another member.
If you are unable to attend, but still wish to register your vote, you can make arrangements to vote ‘by proxy’. Further details of Proxy Notices are available from the Secretary.
The letter of invitation to the AGM advises members of the deadlines for receipt of Nominations, Motions, Amendments and Proxy Notices. Any received after the notified deadlines are void.

The primary purpose of WCC is to provide facilities for, and to promote participation in, the sport of cruising the inland waterways. To achieve this, moorings and mooring amenities are available to members, but WCC is a cruising club, not just a mooring club. To promote active participation in the sport, a lively programme of cruising and social events are held throughout the year.
Being a member of WCC is a partnership. The Club can offer a wide range of opportunities, experiences and facilities but you must be prepared to actively participate in Club life in return. The enclosed information will assist you in deciding whether the Club and what it has to offer is right for you, and of course that you are right for the Club.
To assist you further in making this decision, it is encouraged that prospective members make use of the ‘guest facility’ available on Wednesday evenings. Prior to submission of your membership, you will be able to be signed in to the Clubhouse as a guest (maximum of 6 times). This will enable you to meet with the members, get a ‘feel’ for the place and ask any questions you may have. You will be made welcome, so don’t worry if you don’t know anyone!
Read through all the enclosed information carefully, especially the leaflets entitled ‘Membership of WCC’ and ‘Membership of WCC Further Information’. If you are happy you fully understand what is required of members of WCC and are happy to commit to the minimum requirements then complete the enclosed application form, using the notes overleaf to assist you.
If you are an existing boat owner, or are thinking of buying a boat, it is also very important that you carefully read the ‘Mooring at WCC’ leaflet, prior to submitting your application. You must be a member of the Club before you can make an application for consideration of allocation of a mooring.
Membership does not guarantee a mooring will be available.
Part 1: Type of membership
Ø Indicate which type of membership you wish to apply for, (Single adult or Adult couple) by ticking the appropriate box. Adult members must be 18 or over at the time of application.
Ø If you also require any children/grandchildren to be considered for Junior Membership, as part of your application, indicate how many junior memberships you wish to apply for by writing the number in the box. Junior members must be under 18 at the time of application.
Part 2: Applicant details
Ø Enter your name, date of birth and occupation*, and the same for your partner, if applying for Adult couple membership.
*The Data Protection Act 1998 prevents unnecessary information being collected – For information, the request for date of birth is to enable the Membership Officer to monitor when concessionary rates for membership become applicable. The indication of your occupation is entirely voluntary and does not influence the application process in any way. It is just handy to know what skills members may have when planning for working parties or other events where specific skills may be able to support Club activities.
Ø If you have indicated any Junior memberships are required, enter names and dates of birth.
Part 3: Contact details
Ø Enter your full postal address including your post code. The details you give here will be used for any postal communications so it is important that these details are correct. If applying for Adult Couple membership, only one contact address is required - this will be deemed to be the point of contact for both members.
Ø Enter your contact phone numbers as appropriate. If you have provided a number which is ex-directory, please indicate this by writing XD at the end of the number.
Ø Enter your email address (if you have one). Email is a cheaper and easier way of communicating with members than by post. If you use your email regularly and are happy for this to be used instead of communication by post, please indicate by ticking the box.
Ø Part 4: References
Two referees are required for each adult applicant, to provide character references to support the application for membership. The referees must be professional persons, not associated with WCC. Existing Club members, family and friends are not eligible as referees. Both referees for each applicant will be contacted, and all references must be received before consideration of your application by the Board of Directors can go ahead. To ensure this takes place as quickly as possible, it is important that all contact details requested for your referees are provided. The most common delay in the application process is not being able to contact referees due to incomplete/incorrect contact details. Please ensure the information you provide is accurate. It is also usual to ask your referees in advance if it is ok to provide their details for this purpose.
Ø Enter full details of both character referees for each adult applying.
Part 5: Details of boat
Only complete this Part if you already own a boat.
Ø Enter the registered name of your boat.
Ø Indicate the type of boat you have, (narrowboat or cruiser) by ticking the appropriate box.
Ø Indicate where your boat is currently moored/stored.
Ø Enter the length of your boat in feet.
Part 6: Reason for applying for membership of WCC
It is important that you have carefully considered what membership of WCC can give to you, but also that you are fully committed to supporting the Club.
Ø Outline the main reasons why you wish to be considered for membership of WCC.
Part 7: Declaration & Data Protection Agreement
It is important that you understand what you are agreeing to before signing. Ensure you have read and understood all the information provided. If you are unsure of any details, please make sure you ask for clarification before submitting your application.
Ø Read and, subject to you being happy to agree to the specified terms, sign the Declaration & Data Protection Agreement. In the case of an adult couple application, both parties must sign.
The final section is for administrative use and should be left blank
Your completed Application Form should be posted to the Clubhouse address, marked for the attention of the Membership Officer, or handed in person to a member of the Board of Directors.
Following submission of your application form, the application process is as follows:
Ø Your name and address will be posted on the Clubhouse notice board to inform members of your application for membership. Members are entitled to submit written comments to the Board of Directors if they feel they have anything which will inform the decision making process when considering membership applications.
Ø Your interest in becoming a member of WCC will also be made known to the other Cruising Clubs on the Bridgewater Canal. These Clubs have a protocol in place where the identity of membership applicants is shared. If any of the Clubs have any information which can inform the application process, this information is shared.
Ø Your references will be sent for. It is necessary for all required references to have been received before the application process can continue. This sometimes takes a little time, but if there are any problems obtaining your references you will be advised by the Membership Officer.
Ø A date will then be arranged for you to attend a Membership Interview with the Board of Directors. You will be notified of this date by the Membership Officer. At the interview, the Chairman of the Board of Directors will ask you some questions about your application and ensure you fully understand the requirements of being a member of WCC. It also gives you the opportunity to ask any questions you may have about being a member.
Following consideration of your application, any contributions received from members/other Cruising Clubs, references and interview, the Board of Directors will make the decision whether to approve or reject your application. You will be notified of this decision by the Membership Officer, within 7 days of your interview.
In the event your application is rejected, the Board of Directors reserve the right not to provide justification or reason. The right of appeal against such a decision is available. The appeal is made to the Club’s members and decided by majority vote. If the outcome of the appeal is that the members vote to overturn the Directors decision, you will be granted membership. If the members uphold the Directors decision, there is no further right of appeal and re-application for membership is not permitted.
Subject to a successful application, you will be invoiced for fees due. On payment of this invoice, you will be formally registered as a probationary member of WCC. The probationary status lasts for 12 months. If membership requirements are not met within this period, membership will be terminated. However, if at the end of this period you have demonstrated appropriate involvement in and commitment to the Club, full membership status will be granted.
If you wish to be considered for allocation of moorings at WCC, you may apply following formal acceptance as a probationary member.
The original Worsley Cruising Club was founded in 1958 as a Cruising Association of boaters who mainly moored in the Worsley area of the Bridgewater Canal. In 1973 Worsley Cruising Club Ltd was formed after registration as a Limited Company.
As a Founder Member of the Federation of Bridgewater Cruising Clubs, the Club has made a substantial contribution to both the Bridgewater Canal and the Federation, especially by the involvement of its Board of Directors, Officers and Members in the organisation of rallies on the Federation's behalf.
In addition, through its association with other waterways organisations, it contributes to the preservation and development of the national waterways system both as an amenity to the public and as part of the nation's heritage. WCC is currently affiliated to The Federation of Bridgewater Cruising Clubs, The Association of Waterways Cruising Clubs, The Inland Waterways Association, The Rochdale Canal Society, The Huddersfield Canal Society and The Royal Yacht Club.
The headquarters and Clubhouse of WCC is situated at The Partricroft Arm on the Bridgewater Canal. WCC also has additional moorings at Butts Basin in Leigh.
The membership represents a wide cross-section of the community drawn from many areas in the North West. It is very much a Club of self-help, with members contributing skills, expertise and labour to ensure the further development and future sustainability of the Club.

In 1973 WCC was registered as a Limited Company, Limited by guarantee and not having a share capital. The purpose of this registration was to protect the members, in that, in the event of financial collapse of the Club, the liability of individual members would be limited to £5 each. (This is the £5 refundable ‘Levy’ paid on being accepted as a member of the Club – See membership leaflet)
As a limited Company, the running of WCC is legally bound by a set of rules called the Articles of Association. Members are advised to read through the Articles of Association to give a more in depth insight into how the Club has to operate. The Articles of Association are available upon request from any member of the Board of Directors.
The day to day running of the Club is regulated by instructions and rules as laid down by a Board of Directors, based upon the requirements of the Articles of Association. The Board of Directors is usually referred to as ‘The Committee’ and is made up of between 10 & 18 members who all have specific responsibilities. A list of current WCC Directors is displayed on the Clubhouse notice board.
No club can exist without some formal rules, which ensure that the rights, pleasures and conveniences of the majority are not spoilt by the inconsiderate behaviour of others. Information on the facilities offered by the Club is given in a series of information leaflets, together with the necessary rules that govern their use.
The Directors are responsible for the interpretation and enforcement of these rules. Disciplinary action may be taken against members who fail to observe such rules, including, when necessary, expulsion from membership.
From time to time, it is necessary for the Board of Directors to establish new, or amend existing rules. Any such changes are communicated to members through the Clubhouse notice board and The WCC Bulletin. The Clubhouse notice board and WCC Bulletin are official channels of communication and are deemed all that is necessary to advise members of any such changes.
Use of any WCC facility is at "own risk". Worsley Cruising Club Ltd. cannot be held in any way responsible for injury, accident, damage, theft or loss to either persons or property in any way whatsoever, however caused.
Each year (in February), a WCC Annual General Meeting (AGM) is held at the Clubhouse, (For further information, see AGM leaflet). At this meeting, the Board of Directors who will be responsible for the running of the Club for the next 12 months are appointed by Members’ vote. The AGM also gives members the opportunity to vote on major decisions which affect the running of the Club. Occasionally, if a significant
General behaviour: Thoughtfulness and tolerance are essential for the smooth running of the Club. Members are required to behave in a considerate manner towards others at all times and look out for each other’s safety. This applies while using the Club’s facilities or while out cruising. Promotion of the good reputation of WCC is considered highly important.
Enjoying the facilities: Facilities provided by WCC are for the use and enjoyment of all members. It is expected they will always be used safely and treated with respect. After use, they should be left safe, clean & tidy. Any issues, for example inappropriate usage, breakages etc. should be reported to a Director.
Participation: WCC is a ‘self help’ Club with all maintenance and development achieved through voluntary commitment of members time and expertise. Members are expected to support the Club with regular, active participation in the Clubs programme of work party, cruising and social events.
Refuse: There are no facilities at either Patricroft or Butts Basin for the removal of refuse. You must take all your refuse for disposal off site.
Dogs: Dog owners are expected to keep their dogs under strict control at all times. All dog fouling must be cleaned up immediately.
Keys to access amenities: Adult members may obtain keys upon payment of a returnable deposit. Keys must not be copied or lent to any non-club member. Keys remain the property of Worsley Cruising Club Ltd and must be surrendered when membership terminates or upon demand by the Board of Directors. Any loss of keys should be reported immediately to a Director.
Security: Security is of the upmost importance. Members must ensure all facilities and gates are locked when not in use.
Car parking: There is a limited amount of car parking space available at both moorings. Cars should not be parked in front of the mooring gates. At Butts Basin vehicles must not be parked in Bangor Fold. When parking, always consider the local residents and the Club’s relationship with them. If you intend to leave your car in the car park while out cruising, please ensure it is parked with consideration and not obstructing any access ways or other vehicles. If it is necessary to leave your car in the car park in excess of 3 days, this must be arranged in advance with the Mooring Officer.
Changes in circumstance: Please ensure that the relevant Officers are kept up to date with any relevant information. For example, the Membership Officer will need to know any change of address or phone number; the Mooring Officer any changes to your boat, etc.
The Burgee of Worsley Cruising Club Limited, was designed by the late Founder member Roy Kenyan in collaboration with local Historian the late Frank Mullineux. It shows the Club's close links with Worsley, the home of the Country's inter-connected commercial waterway system.
The centre piece of the Burgee is the Pheon which is basic to the Egerton Family Coat of Arms. Francis Egerton - Third Duke of Bridgewater - was the founding father of our canals. The red and white colours derive from the original Worsley Family and both colours and Pheon later appear in the Arms of the Town of Worsley, now sadly lapsed after Local Government re-organisation.

The promotion of the good reputation of Worsley Cruising Club is considered highly important. When cruising, members are expected to behave in a safe and responsible manner to bring credit to the Club. All members are expected to familiarise themselves with basic cruising etiquette and safety requirements.
Enclosed is a copy of ‘The Boater’s Handbook’. This outlines all the boating basics – essential knowledge and techniques to make sure you enjoy yourself but stay safe when boating.
The Boaters Handbook is designed for newcomers to boating, but also serves as a handy reminder for more experienced boaters.
Also enclosed is a copy of ‘The Boater’s DVD’. This follows 2 first time boating families as they explore the inland waterways of England.
The DVD is especially suitable for first time boaters and new crew, but it also carries useful reminders for those more experienced at boating.
